　　Standard I(A) Knowledge of the Law

 

　　Example 1 (Dissociating from a Violation)：

 

　　Lawrence Brown’s employer, an investment banking firm, is the principal underwriter for an issue of convertible debentures by the Courtney Company. Brown discovers that the Courtney Company has concealed severe third-quarter losses in its foreign operations. The preliminary prospectus has already been distributed.

 

　　这个Example讲的主要是关于发现了别人违反了法律或道德准则，需要怎么处理的问题。

 

　　Lawrence Brown的雇主是一家投资银行，这家投资银行是Courtney Company公司convertible debentures（可转债券，是一种可以转换为所购买公司股票的债券，相当于是债券+option，可转债在财报会开始涉及到，固收，衍生也会提到）发行的主要承销商。Brown发现Courtney Company隐藏了他的海外业务的第三季度的严重的亏损额。初步募股书已经分发出去。

　　Brown应该怎么做呢？

 

　　这个Example很明显讲的是Brown发现了他的Client（客户）违反了适用法律。是确认违反了，所以不作为等同于Brown也违法，所以必须有所作为，需要Dissociate violation。

 

　　【四个步骤】：

 

　　1.Direct discussions with the wrongdoer

 

　　2.Report to supervisor or compliance department

 

　　3.Must step away or dissociate from the illegal/unethical activity.

 

　　4.in extreme cases, dissociation may require resignation

 

　　【Comment】

 

　　Knowing that the preliminary prospectus is misleading, Brown should report his findings to the appropriate supervisory persons in his firm. If the matter is not remedied and Brown’s employer does not dissociate from the underwriting, Brown should sever all his connections with the underwriting. Brown should also seek legal advice to determine whether additional reporting or other action should be taken.

 

　　这个Example给到的评论是Brown发现了初步募股书是带有误导性的，需要把发现报告中的错误告诉合适的监管人；如果依旧没有纠正这一错误并且他的公司没有跟Courtney Company的承销撇清关系，则他自己需要完全撇清关系。并且可以咨询法律专家是否需要做进一步的动作行为。

 

　　评论没有说到direct discussion，原版书的Guidance很明确的提到如果直接沟通不成功的话再进行report，dissociate，resignation等步骤，我们以上面给到的四个步骤为准，是要考虑direct discussion的。另外咨询相关法律专家是推荐做的行为，有不明白的就可以咨询。但是如果确定违反，做题是直接按照四个步骤进行脱离的。
